State registration and termination of business entities’ activities: major changes

If you plan to start a business in Belarus, you should consider the changes in the issues of approving the names of legal entities, state registration, termination of activities of legal entities and individual entrepreneurs, maintaining the Unified State Register of Legal Entities and Individual Entrepreneurs of the Republic of Belarus (hereinafter – “EGR”), provided for by the Resolution No. 96 of the Ministry of Justice of the Republic of Belarus, dated June 18, 2020 (hereinafter – the “Resolution”).

Major changes from 1 July 2020:

  • the names of legal entities excluded from the EGR are banned for new legal entities;
  • at present a name consisting of 2 letters (numbers) can be approved; it may contain words in the superlative degree of comparison, as well as the name of the international organization that establishes this legal entity;
  • the forms of various applications,
  • The list of information posted in the public domain on EGR web portal by the Ministry of Justice of the Republic of Belarus has been clarified, systematized and expanded.

Some changes provided for by the Resolution, which specify the procedure for maintaining EGR will enter into force on January 1, 2021.
